The Finnish Competition and Consumer Authority (FCCA) on 27 May 2026 approved, subject to conditions, the proposed acquisition by Loihde Oyj of BLC Turva Oy. The approval and implementation of the transaction are conditional on one of the parties selling its overlapping locking business in Lappeenranta, Mikkeli and Jyväskylä.
The FCCA examined the acquisition’s effects on competition. Both parties are active in the physical security market, where they provide, for example, electronic security technology and structural security systems, as well as related installation, maintenance, and support services. Loihde is also active in the digital security market.
Based on the FCCA’s investigation, the acquisition would have adverse effects on competition in the markets for locking systems in the regions of South Karelia, South Savo and Central Finland. The parties’ combined market shares in those markets are high, and only limited competition would remain.
The FCCA did not identify competition concerns in other physical security markets.
Divestment of the parties’ overlapping businesses as a condition for approval
Competition concerns arising from a transaction can often be addressed by imposing conditions on the transaction.
Under the commitments proposed by the parties, Loihde’s locking business at its Lappeenranta and Mikkeli locations, Loihde’s other local operations at its Mikkeli office, and BLC Turva’s locking business at its Jyväskylä office will be sold to a buyer or buyers who meet specified purchaser criteria.
The effectiveness of the commitments is ensured by preventing the implementation of the transaction until the conclusion of binding agreements on the divestments and on the FCCA’s approval of the buyers.
According to the FCCA, the commitments are sufficient to eliminate the competition problems arising from the acquisition and to maintain a competitive structure in the market.
The FCCA’s decision contains confidential business secrets of the parties. The decision will be published after the business secrets have been removed.
