The FCCA investigates how Terveystalo’s acquisition of Diacor affects competition

The Finnish Competition and Consumer Authority (FCCA) commences further proceedings concerning the acquisition by which Terveystalo Healthcare Oy obtains control over Diacor Terveyspalvelut Oy.

Terveystalo and Diacor are both healthcare service companies whose customers include employers, insurance companies and private people. Terveystalo is a nationwide player whose market position is proportionately strongest in Northern and Eastern Finland, whereas Diacor is a regional player with business locations in the Greater Helsinki Area and Turku.

On the basis of the FCCA’s preliminary investigations, the acquisition may have adverse impacts on competition in the healthcare service market. Based on the market share, the cluster of the two parties would be by far the largest player in several markets. If Diacor exits the market, the market of occupational healthcare services, especially in the Greater Helsinki Area, will be concentrated to a significant extent.

The FCCA will therefore investigate whether the acquisition substantially impedes effective competition on Finnish markets or a substantial part of the markets especially through creating or reinforcing a dominant market position. The FCCA may approve the acquisition as such, attach conditions to the approval or request the Finnish Market Court to prohibit the acquisition. According to the Competition Act, the further proceedings may not take longer than three months.

The FCCA’s decision includes business secrets of the parties involved. The decision cannot be published until the business secrets have been removed, i.e. in around two weeks’ time.
