On 3 January 2003, the FCA cleared an acquisition, as a result of which Telekolmio Oy (Telekolmio) becomes a joint venture of Sonera Oyj (Sonera) and Hämeen Puhelin Oy (HPO). Telekolmio has previously been under HPO’s sole control.
Telekolmio is a subsidiary wholly owned by HPO, and specialises in the retailing of the telecom, IT and security services offered by HPO to the corporate customers within the Hämeenlinna region. It also governs masts and equipment bays needed in mobile connections.
A key condition for approving the acquisition was that Telekolmio dissolve the mobile infrastructure it governs, such as the above-mentioned masts and equipment bays.
The FCA finds that, without conditions, the acquisition would have resulted in the strengthening of Sonera’s dominant position in the Finnish mobile service market and the mobile infrastructure governed by Telekolmio ended up under Sonera’s sphere of influence.
The conditions imposed on the acquisition are intended to guarantee effective competition in the mobile service market. In its decision, the FCA paid attention to the fact that Telekolmio operates almost solely as a distributor and does not engage in actual telecom operations.
In addition to the Telekolmio acquisition, Sonera and HPO have agreed on extensive cooperation. On the basis of its investigations, the FCA held that the cooperation package could not be perceived as falling under the merger provisions. The parties have sought a separate exemption for their arrangement from the FCA.
