FCCA approves acquisition between Finnair, Danish Air Transport and Nordic Regional Airlines

The Finnish Competition and Consumer Authority (FCCA) approved on 26 September 2018 the transfer of ownership of Nordic Regional Airlines AB from the sole control of Finnair Oyj to the joint control of Finnair Oyj and Danish Air Transport Holding A/S. The FCCA has concluded that the acquisition will not significantly impede effective competition in the Finnish market.

Finnair is a public limited company operating in the airline industry. Finnair also practices the sale, lease and repair of aircraft and their parts and supplies and other business operations related to airline operations. Danish Air Transport provides services in scheduled flights, chartered holiday flights and other charter flights in Denmark and Lithuania. Nordic Regional Airlines is a regional airline operating in the Nordic and Baltic countries and parts of Europe, and its turnover is generated by transport services purchased by Finnair.

The FCCA has concluded that the acquisition will not significantly impede effective competition in the Finnish market. The air routes served by Danish Air Transport do not overlap with those of Finnair or Nordic Regional Airlines, and the parties to the transaction are not competitors in any market segment.

The FCCA’s decision includes business secrets of the parties involved. The decision cannot be published until the business secrets have been removed.

According to the Competition Act, the FCCA must be notified of the transaction if the combined turnover of the parties to the corporate transaction exceeds 350 million euros and the turnover from Finland of at least two of the parties exceeds a combined total of 20 million euros. The FCCA will approve a corporate transaction if it has none of the harmful impacts referred to in the Competition Act. The FCCA will intervene in corporate transactions if its investigations suggest that the acquisition substantially impedes effective competition on Finnish markets or a substantial part of the markets, particularly through the creation or reinforcement of a dominant market position.
